Terms of Service

Please read these terms carefully before using Syntra AI. They govern your use of our service.

Summary: Syntra AI is an AI meeting assistant. You own your data. You are responsible for getting consent from meeting participants in your jurisdiction. We do not sell your data. AI outputs may contain errors — always review them. Questions? legal@syntra.ai

1. Acceptance of Terms

By accessing or using Syntra AI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including workspace owners, administrators, and members invited to a workspace. If you are using Syntra AI on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you personally and the organization.

2. Description of Service

Syntra AI is an AI-powered meeting assistant that joins your video meetings (including Google Meet, Zoom, and Microsoft Teams), listens to conversations, transcribes speech in real time, and automatically extracts tasks, decisions, and summaries using artificial intelligence. The Service includes: • Real-time meeting transcription and speaker identification • AI-powered task and decision extraction using Google Gemini • Automated PDF report generation stored via Cloudinary • Workspace collaboration tools for teams • Voice interaction during live meetings • Email notifications and team management features Syntra AI is a productivity tool. It is not a legal recording service. Users are solely responsible for obtaining proper consent from all meeting participants before using the Service in any meeting.

3. Accounts and Workspaces

3.1 Account Registration. You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 3.2 Email Verification. Upon registration, you must verify your email address before gaining full access to the Service. Unverified accounts have limited access. 3.3 Workspaces. The Service operates on a workspace model. One user creates a workspace and may invite others as Members or Admins. Workspace Owners are responsible for all activity within their workspace, including the actions of invited members. 3.4 Workspace Roles. The following roles exist within a workspace: • Owner — full control including billing, deletion, and all settings • Admin — can manage team members, agent configuration, and integrations • Member — can view meetings, tasks, reports, and use the chat feature 3.5 Invited Members. When a user accepts a workspace invitation, they agree to these Terms. Invited members may belong to multiple workspaces and may create their own workspace at any time using the same account. 3.6 Account Termination. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Service.

4. Recording Consent and Legal Compliance

This is an important section. Please read it carefully. 4.1 Your Responsibility. Syntra AI joins meetings and records audio and/or transcribes conversations. Laws regarding the recording of conversations vary significantly by jurisdiction. In many places, you are legally required to obtain consent from all parties before recording a conversation. 4.2 Consent Requirement. Before using Syntra AI in any meeting, you must: • Notify all participants that an AI assistant will be present and listening • Obtain any legally required consent from all participants • Comply with all applicable local, state, national, and international laws 4.3 No Legal Advice. Syntra AI does not provide legal advice. We do not represent that use of the Service is compliant with the laws of any specific jurisdiction. You are solely responsible for ensuring your use of the Service complies with applicable law. 4.4 Indemnification. You agree to indemnify and hold Syntra AI harmless from any claims, damages, or legal proceedings arising from your failure to obtain proper consent or your non-compliance with recording laws.

5. Data, Privacy, and Security

5.1 Your Data. Meeting transcripts, tasks, decisions, and summaries generated by the Service ("Your Data") remain yours. We do not sell Your Data to third parties. 5.2 Data Storage. Meeting transcripts and workspace data are stored in Firebase Firestore. Generated PDF reports are stored in Cloudinary. Both services maintain industry-standard security practices. 5.3 AI Processing. Your meeting content is processed by Google Gemini AI to extract tasks, decisions, and generate summaries. By using the Service, you grant us the right to transmit your meeting content to Google Gemini for this purpose. Please review Google's AI policies for information on how they handle data. 5.4 Encryption. All data transmitted to and from the Service is encrypted in transit using TLS. Data at rest is encrypted using Firebase and Cloudinary's standard encryption. 5.5 Data Retention. You may delete meeting records, transcripts, and your workspace at any time. Upon workspace deletion, we will delete your data from our systems within 30 days, except where retention is required by law. 5.6 Privacy Policy. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. 5.7 Security Incidents. In the event of a data breach that affects your data, we will notify you in accordance with applicable law.

6. Prohibited Uses

You agree not to use the Service to: • Record meetings without the knowledge or consent of all participants • Violate any applicable local, state, national, or international law or regulation • Infringe upon the intellectual property rights of any third party • Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable • Attempt to gain unauthorized access to any portion of the Service or its related systems • Use the Service to build a competing product or service • Reverse engineer, decompile, or disassemble any part of the Service • Use automated scripts or bots to access the Service in a manner that exceeds normal usage • Impersonate any person or entity or misrepresent your affiliation with any person or entity • Interfere with or disrupt the integrity or performance of the Service • Use the Service to process or store classified, top secret, or similarly sensitive government information

7. Intellectual Property

7.1 Our IP. The Service, including its design, code, features, branding, and documentation, is owned by Syntra AI and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service. 7.2 Your IP. You retain all intellectual property rights in Your Data — the meeting content, transcripts, and materials you bring into the Service. By using the Service, you grant us a limited, non-exclusive license to process and store Your Data solely to provide the Service to you. 7.3 Feedback. If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without any obligation to you. 7.4 AI Outputs. Summaries, task lists, and decisions generated by Syntra AI are based on your meeting content. You own these outputs as part of Your Data.

8. Payment and Billing

8.1 Plans. Syntra AI offers free and paid subscription plans. The features available under each plan are described on our Pricing page, which may be updated from time to time. 8.2 Billing. Paid plans are billed monthly or annually in advance. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. 8.3 Price Changes. We reserve the right to change our prices. We will provide at least 30 days' notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new price. 8.4 Refunds. Subscription fees are generally non-refundable. If you believe a charge was made in error, please contact us within 30 days of the charge. 8.5 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for. 8.6 Taxes. Prices do not include applicable taxes, which may be added based on your location.

9. Disclaimers and Limitations

9.1 Service "As Is". The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. 9.2 AI Accuracy. Syntra AI uses artificial intelligence to transcribe and analyze meetings. AI-generated content — including transcripts, task lists, summaries, and decisions — may contain errors or inaccuracies. You should always review AI outputs and not rely on them as the sole record of a meeting or as legal documentation. 9.3 Service Availability. We do not guarantee that the Service will be available 100% of the time. The Service may be temporarily unavailable due to maintenance, technical issues, or events beyond our control. 9.4 Limitation of Liability. To the maximum extent permitted by law, Syntra AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. 9.5 Maximum Liability. Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will: • Update the "Last Updated" date at the top of this page • Send an email notification to all registered users • Display a notice within the Service Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

11. Termination

11.1 By You. You may stop using the Service and delete your account at any time from your Settings page. Deleting your account will remove your personal data subject to the retention terms described in Section 5. 11.2 By Us. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including violation of these Terms. We will generally provide notice and an opportunity to remedy violations before termination, except in cases of serious violations. 11.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

12. Governing Law and Disputes

12.1 Governing Law. These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. 12.2 Dispute Resolution. Before filing any legal claim, you agree to first contact us at legal@syntra.ai and attempt to resolve the dispute informally for at least 30 days. 12.3 No Class Actions. You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class action, collective action, or representative action.
